Terms of Service

1. Acceptance

By creating an account or using PortPulse, you agree to these Terms of Service on behalf of yourself and the organisation you represent. If you do not agree, do not use the service. These terms constitute a binding agreement between you and PortPulse Ltd. (“PortPulse”, “we”, “us”).

2. Service Description

PortPulse provides container tracking, demurrage monitoring, and customs clearance alerting for shipments at Tema Port, Ghana. The service monitors container status through Ghana's ICUMS system using credentials you provide, and delivers alerts via email and WhatsApp.

Important limitation: PortPulse is a monitoring and alerting tool. We do not clear containers, interact with customs officials, or have any legal authority in the customs clearance process. All decisions and actions remain your responsibility.

3. ICUMS Credentials

You may provide your GRA ICUMS credentials to enable automated monitoring. By doing so, you represent that:

  • You are authorised to use the credentials you provide
  • You consent to PortPulse using them solely to check container status on your behalf
  • You will not provide credentials belonging to another person without their explicit consent
  • You accept responsibility for all activity performed using your credentials

We encrypt credentials with AES-256 and use them only for authorised ICUMS polling. We do not share credentials with any third party. You may revoke credentials at any time from Settings.

4. Subscription and Payment

Trial: New accounts receive a 14-day free trial with full access to all features. No credit card is required to start a trial.

Paid subscription: After the trial, continued access requires a paid subscription at GHS 2,500 per month (or the current published rate). Subscriptions are billed monthly in advance.

Payment processing: Payments are processed by Paystack. You authorise Paystack to charge your payment method on a recurring monthly basis until you cancel.

Cancellation: You may cancel at any time from the Billing page. Your access continues until the end of the current billing period. No partial refunds are provided.

Suspension: We may suspend access for non-payment. Data is retained for 30 days after suspension before deletion.

Price changes:We will give 30 days' written notice before changing subscription prices.

5. Acceptable Use

You agree not to:

  • Use the service in violation of any Ghanaian or applicable law
  • Attempt to access another organisation's data
  • Reverse engineer or attempt to extract the source code
  • Use the service to build a competing product
  • Overload our systems with automated requests beyond normal use
  • Provide false information about your organisation or credentials
  • Share your account credentials with unauthorised persons

6. Data and Privacy

Your use of PortPulse is subject to our Privacy Policy, which is incorporated into these terms by reference. By using the service, you consent to the data practices described therein.

You own the container data you add to PortPulse. You may export it at any time via CSV export. Upon account closure, your data will be deleted within the timeframes set out in the Privacy Policy.

7. Accuracy of Information

Container status information displayed in PortPulse is sourced from ICUMS and is updated approximately every 30 minutes. We do not guarantee the accuracy, completeness, or timeliness of status information. ICUMS data may be delayed, incorrect, or unavailable due to factors outside our control.

Do not rely solely on PortPulse for time-critical decisions.Always verify critical clearance information directly with ICUMS or your clearing agent before incurring significant costs.

8. Limitation of Liability

To the maximum extent permitted by Ghanaian law, PortPulse shall not be liable for:

  • Demurrage charges, port storage fees, or other costs arising from delayed or missed alerts
  • Losses resulting from inaccurate or unavailable ICUMS data
  • Losses resulting from service downtime or technical failures
  • Indirect, consequential, or punitive damages of any kind

Our total liability for any claim arising from these terms or your use of the service shall not exceed the subscription fees paid by you in the 3 months preceding the claim.

9. Service Availability

We target 99.5% monthly uptime, excluding scheduled maintenance and events outside our control. We do not guarantee uninterrupted access. Planned maintenance will be communicated by email at least 24 hours in advance where possible.

10. Termination

Either party may terminate these terms at any time. You may terminate by cancelling your subscription and deleting your account. We may terminate or suspend your access for breach of these terms, with notice where reasonably practicable. Upon termination, your right to use the service ceases immediately.

11. Changes to Terms

We may update these terms to reflect changes in our service, legal requirements, or business practices. We will provide at least 14 days' written notice of material changes. Continued use after that date constitutes acceptance.

12. Governing Law and Disputes

These Terms of Service are governed by the laws of the Republic of Ghana. Any dispute arising from these terms or your use of the service shall first be subject to good-faith negotiation between the parties. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts of Ghana, sitting in Accra.
